Welcome to TidyReply. By accessing or using our website, app, or services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. We may update these Terms from time to time; continued use after changes means you accept the updated Terms.

TidyReply is a unified messaging inbox that lets you manage conversations from WhatsApp, Instagram, Facebook Messenger, Email, and Telegram in one dashboard. We provide the software, infrastructure, and support to sync, display, and send messages across these channels. You are responsible for your use of each channel in line with that platform's own terms and policies.

You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate account information and to keep your login details secure. You are responsible for all activity under your account. Notify us immediately if you suspect unauthorized access.

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws or third-party terms (including channel platform rules).
• Send spam, abuse, harassment, or any content that is fraudulent, defamatory, or harmful.
• Attempt to gain unauthorized access to our systems, other accounts, or any connected channel or service.
• Reverse engineer, scrape, or automate access to the Service in a way that burdens our systems or violates these Terms.
• Resell or sublicense the Service (unless we have agreed in writing).

We may suspend or terminate your account if we reasonably believe you have breached these Terms or misused the Service.

You retain ownership of the content and data you provide (e.g. messages, contacts). By using the Service, you grant us the rights necessary to operate it: to receive, store, process, and transmit your data in connection with syncing channels, displaying conversations, and providing features like quick replies and AI suggestions. We do not use your content for advertising or sell it to third parties. Our use of personal data is described in our Privacy Policy.

Paid plans are billed in advance (e.g. monthly or annually) according to the pricing shown at signup or in your account. You authorize us to charge the payment method on file. Fees are non-refundable except as required by law or as stated in our refund policy. We may change pricing with reasonable notice; continued use after a price change constitutes acceptance. You may cancel at any time; cancellation takes effect at the end of the current billing period.

The Service depends on third-party platforms (e.g. Meta for WhatsApp, Instagram, Messenger; email and Telegram providers). Your use of those channels is subject to their terms and policies. We are not responsible for their availability, actions, or how they process data. If a channel restricts or discontinues access, we will work to support you but cannot guarantee uninterrupted service for that channel.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure. We are not liable for any loss of data, revenue, or goodwill, or for any indirect, incidental, or consequential damages arising from your use of the Service.

To the maximum extent permitted by law, our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim. This limit applies whether the claim is in contract, tort, or otherwise.

You agree to indemnify and hold TidyReply, its affiliates, and their officers, directors, and employees harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your content, or your breach of these Terms.

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms or for other operational or legal reasons. On termination, your right to use the Service ends. Sections that by their nature should survive (e.g. disclaimers, limitation of liability, indemnification) will survive termination.

These Terms are governed by the laws of the jurisdiction in which TidyReply operates, without regard to conflict of law principles. Any dispute will be resolved in the courts of that jurisdiction. If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce a right does not waive that right.
